Terms of Service

1. Who we are and what CheckedOut is

CheckedOut ("CheckedOut", "we", "us") operates trycheckedout.com and the CheckedOut applications: a marketplace and operations platform that connects short-term-rental hosts and property managers ("Hosts") with independent service professionals ("Pros") for cleaning, maintenance, inspections and related services, together with tools both sides use to run that work — scheduling, checklists, photo evidence, time tracking, messaging, knowledge bases, invoicing and payments (the "Services").

CheckedOut is a facilitator, not a party to the work. When a Host engages a Pro, the contract for the services is formed directly between the Host and the Pro. We do not perform, supervise, direct or control the work; we do not employ Pros; and we make no promise that any particular Host or Pro will accept, complete or be satisfied with any job. Nothing in these Terms creates an employment, agency, partnership, joint-venture or franchise relationship between CheckedOut and any user, or between CheckedOut and the outcome of any job.

2. Eligibility and accounts

You must be at least the age of majority in your jurisdiction and able to form a binding contract to use the Services. You must provide accurate, current information and keep it updated; you are responsible for all activity under your account and for keeping your credentials confidential. Notify us promptly of any unauthorized use. Workspace team members you invite (admins, staff, workers) act under your workspace, and you are responsible for their use of it; the account-owner role cannot be transferred through the app. We may refuse, suspend or revoke accounts to protect the platform or its users.

3. Independent professionals

Pros are independent businesses. They set their own rates, currencies, availability, methods and tools, may accept or decline any job, and may work for anyone else. Pros are solely responsible for their own registrations, licences, permits, insurance, employees and subcontractors, and for remitting their own taxes. Hosts are solely responsible for deciding whom to hire, for the accuracy of job details and property information they provide, for lawful instructions, and for providing safe access to their properties. Ratings, badges and history shown on profiles are records of activity on CheckedOut, not an endorsement, guarantee or certification by us.

Where a Host uses CheckedOut's workforce tools (time clocks, timesheets, pay rates) with their own workers, the Host is the sole employer or client of those workers. The Host is responsible for classification, wages, overtime, deductions and compliance with employment and labour law in their jurisdiction; CheckedOut provides record-keeping software only and is not a joint employer.

4. Fees

Our fees depend on how the working relationship began:

Marketplace engagements (the Host and Pro were matched through CheckedOut — a posting, offer, or the Find-a-Pro directory): the Host pays a service & payment fee of 8% of the agreed price, added at payment, and the Pro pays a marketplace fee of 3% of the agreed price, deducted from their payout. Card processing is included in these fees and is not itemized on top.

Invited engagements (the Host invited a Pro they already work with): the Host pays a payment fee of 3.9% of the agreed price; the Pro pays nothing.

Tips always belong to the Pro in full. Every charge is itemized on a numbered invoice before and after payment, and every payout carries an explicit statement. We may change fees prospectively under Section 20; changes never apply retroactively to jobs already paid. Each party is responsible for its own taxes: Pros register, charge and remit their own sales taxes (shown as their own line on invoices), and nothing we display is tax advice.

5. Payments

Payments are processed by third-party payment processors (currently Stripe). By adding a payment method, the Host authorizes us and our processor to charge it for completed jobs the Host approves, per the flow shown in the product, plus applicable fees and taxes. By connecting a payout account, the Pro authorizes payouts through the processor, less applicable fees. Users must comply with the processor's own terms (for Stripe, the Stripe Services Agreement and Connected Account Agreement). We may suspend payments or payouts where we reasonably suspect fraud, a payment dispute, or a legal requirement. Amounts are charged and paid in the currency stated at checkout; displayed conversions into another currency are approximate and for convenience only.

6. Cancellations, refunds and disputes between users

The Payments, Cancellations & Refunds Policy governs when jobs can be cancelled, when charges occur, and how refunds and payment disputes are handled. We may — but are not obligated to — assist Hosts and Pros in resolving a disagreement about work quality, access, damage or payment, including by sharing the evidence records both sides created on the platform. Any decision to refund, re-clean, or withhold approval is between the Host and the Pro except where the Policy says otherwise.

7. Evidence tools are records, not insurance

Checklists, photo proof, server timestamps, GPS-stamped clock-ins and export packs are record-keeping tools. They may help a user support a claim (for example with a booking platform or an insurer), but CheckedOut is not an insurer, does not underwrite or guarantee any outcome, does not warrant that any third party will accept such records, and pays no claims. Users are responsible for carrying their own appropriate insurance.

8. Your content

You retain ownership of content you submit (photos, messages, documents, listings, reviews). You grant CheckedOut a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display and process that content as needed to operate and improve the Services, enforce these Terms, and comply with law. You are responsible for having the rights to what you upload (including any people photographed) and for the accuracy of your reviews and profile claims. We may remove content that violates these Terms.

9. Acceptable use

You agree not to:

(a) break the law, or use the Services for any unlawful, deceptive or harmful purpose; (b) misrepresent identity, qualifications, licensing, insurance or work history; (c) post false reviews, manipulate ratings, or review yourself; (d) harass, threaten or discriminate against other users; (e) upload malware, scrape the Services, probe or overload our systems, or bypass access controls; (f) use another user's account or share credentials; (g) collect other users' personal information beyond what the Services expose for a job; (h) circumvent fees — soliciting or accepting off-platform payment for a marketplace-originated engagement to avoid the fees in Section 4 is a material breach; (i) use location or time-clock features to track anyone outside lawful, disclosed, work-related purposes; or (j) resell or white-label the Services without our written agreement.

10. Reviews

Reviews must reflect a genuine experience on a CheckedOut job. We may remove reviews that are fraudulent, retaliatory, unrelated to the work, or that violate Section 9, and we may display aggregate ratings computed from review history. We do not otherwise edit reviews and do not guarantee their accuracy.

11. Location and time-tracking data

Clock-in/out captures a timestamp and, with device permission, a GPS position and accuracy at the moment of punching — used to compute distance from the job site and flag anomalies. Workers consent to this processing by using the clock; Hosts must use these features only for lawful workforce management, must make any disclosures their jurisdiction requires, and must not use them to track anyone outside work. Details are in the Privacy Policy.

12. Third-party services

The Services interoperate with third parties (for example Stripe for payments, calendar feeds such as Airbnb/Vrbo iCal, and accounting exports). Those services have their own terms and privacy policies; we are not responsible for them, for feed accuracy, or for jobs created from third-party calendar data a user connected.

13. Term, suspension and termination

You may stop using the Services and close your account at any time; fees already incurred remain payable, and pending payouts for completed work are paid out in the ordinary course unless withheld under Section 5. We may suspend or terminate access (with notice where practicable) for breach of these Terms, fraud or credit risk, legal requirement, or extended inactivity. Sections that by their nature survive (including 4, 5, 7, 8, 14–19) survive termination.

14. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHECKEDOUT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY PRO OR HOST WILL PERFORM. YOUR STATUTORY CONSUMER RIGHTS, WHERE THEY CANNOT BE EXCLUDED, ARE NOT AFFECTED.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) CHECKEDOUT IS NOT LIABLE FOR THE ACTS OR OMISSIONS OF HOSTS, PROS OR OTHER USERS, FOR THE QUALITY, SAFETY, LEGALITY OR OUTCOME OF ANY JOB, OR FOR PROPERTY DAMAGE, LOSS OR INJURY ARISING FROM WORK ARRANGED THROUGH THE SERVICES; (b) CHECKEDOUT IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL; AND (c) CHECKEDOUT'S AGGREGATE LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD IS LIMITED TO THE GREATER OF (i) THE FEES YOU PAID TO CHECKEDOUT (EXCLUDING AMOUNTS PASSED TO PROS) IN THAT PERIOD AND (ii) CAD $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITS; THESE APPLY TO THE FULLEST EXTENT PERMITTED.

16. Indemnification

You will defend, indemnify and hold harmless CheckedOut and its officers, directors, employees and agents from claims, damages, liabilities and reasonable costs (including legal fees) arising out of: your use of the Services; your content; your breach of these Terms or of law; work you perform or commission; your employment or engagement of workers; or your violation of any third party's rights.

17. Governing law and disputes with CheckedOut

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Before filing any claim against CheckedOut you agree to contact us and attempt in good faith to resolve it informally for 30 days. Except where prohibited, unresolved disputes will be finally resolved by binding arbitration in Ontario before a single arbitrator, on an individual basis — no class or representative proceedings — provided that either party may bring an eligible claim in small-claims court, and nothing prevents claims that cannot lawfully be arbitrated (including, for Quebec consumers and others where such clauses are restricted, claims in your local courts).

18. Changes to the Services

We may modify, add or remove features. If a change materially reduces core functionality you paid fees to use, your remedy is to stop using the Services.

19. General

These Terms, the Privacy Policy and the Payments, Cancellations & Refunds Policy are the entire agreement between you and CheckedOut about the Services. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Notices may be given through the product or to your account email.

20. Changes to these Terms

We may update these Terms. For material changes we will give reasonable advance notice in the product or by email; continued use after the effective date is acceptance. The "Last updated" date above always reflects the current version.
